youSleep Portal Research Licence

This Research-Only Usage License ("License") governs the use of the subset of analysis algorithms ("Algorithms") available on the youSleep Portal ("Portal") distributed under the "Research" licence (https://portal.yousleep.ai/legal/licence/research). By accessing and using the Algorithms under this License, you ("User") agree to the following terms:

1. Scope of Use
1.1
The Algorithms licensed under this agreement are strictly for non-commercial research applications.

1.2
The Algorithms may only be used for research purposes on annonymized, non-clinical data.

1.3
The User acknowledges that the Algorithms and their outputs must not be used for any clinical, diagnostic, or patient care purposes.

2. Prohibited Uses
2.1
The outputs generated by the Algorithms must not be:

- Used for commercial purposes, including but not limited to product development, consulting services, or software integrations.
- Sold, sublicensed, or otherwise transferred to third parties.
- Used to train, develop, or improve machine learning models, artificial intelligence systems, or other algorithms.

2.2
The User must not modify, reverse engineer, or otherwise alter the Algorithms.

2.3
Any attempt to use the Algorithms outside the permitted research scope constitutes a material breach of this License.

3. Nature of Outputs
3.1
The outputs of the Algorithms are statistical in nature and are based on observed data. They may be incomplete, incorrect, or misleading.

3.2
The User acknowledges that the outputs do not constitute any form of definitive analysis and should not be relied upon for decision-making outside of research applications.

3.3
The youSleep team makes no guarantees regarding the accuracy, reliability, or validity of the outputs.

4. Liability and Disclaimer
4.1
The Algorithms are provided "as-is" without any warranties, express or implied, including but not limited to warranties of fitness for a particular purpose, merchantability, or non-infringement.

4.2
The youSleep team assumes no responsibility for any direct, indirect, incidental, special, consequential, or punitive damages arising from the use of the Algorithms or their outputs.

4.3
The User bears full responsibility for how the outputs are interpreted and applied in their research.

5. Data Usage and Privacy
5.1
The User is responsible for ensuring that any data uploaded to the Portal complies with applicable privacy and ethical standards.

5.2
The youSleep team does not claim ownership of uploaded data but reserves the right to store, process, and delete data as necessary to provide the research service.

6. Termination and Compliance
6.1
The youSleep team reserves the right to revoke access to the Algorithms at any time if the User is found to be in violation of this License.

6.2
The User agrees to comply with all applicable laws and institutional guidelines regarding the ethical use of research data.

6.3
This License is non-transferable and remains in effect until terminated by the youSleep team or the User ceases use of the Algorithms.

7. Governing Law
This License is governed by the laws of Denmark. Any disputes arising under or in connection with this License shall be resolved in the courts of Denmark.
